These Terms & Conditions ("Terms") govern your use of the Car Ex Group website at carexllc.com and the purchase of vehicles and related services from Car Ex LLC. By browsing this website or placing an enquiry you accept these Terms in full.
Car Ex LLC ("Car Ex Group", "we", "us", "our") is an automotive wholesale and export company registered in the United Arab Emirates, operating from Showroom No. 77, Used Car Complex, Ras Al Khor Awir, Dubai, UAE. We are an authorised Toyota dealer for African markets and supply a range of passenger, commercial and heavy vehicles to buyers worldwide.

Vehicle listings, specifications and availability are provided in good faith and updated regularly, but may change without notice. All prices — whether shown on the website, discussed in person, or communicated by phone or messaging — are indicative only until confirmed in writing. They depend on quantity, specification, exchange rates, destination and current market conditions. Only a price stated in a written quotation or proforma invoice issued by Car Ex Group is binding, and only for the validity period stated on that document. No verbal discussion, marketing material or website listing constitutes a binding offer or price commitment.
Submitting an enquiry does not create a contract. A binding purchase agreement is formed only when:
Until all three conditions are met, the vehicle remains available to other buyers. Unless stated otherwise on the document, each proforma invoice is valid for 14 calendar days from its issue date; after that, prices and availability must be reconfirmed by us in writing.
We work flexibly with each buyer, and the exact payment terms for your order — including any deposit, the balance, and the schedule — are agreed with you and set out on your proforma invoice. As a general guide:
All prices are exclusive of import duties, destination port charges, local taxes or customs fees, which are the buyer's sole responsibility.
UAE VAT: Direct exports of vehicles are zero-rated for UAE VAT in accordance with UAE Federal Tax Law. Domestic showroom sales (where the vehicle is not exported) may attract 5% UAE VAT, which will be shown separately on the invoice where applicable. All "business days" referred to in these Terms mean UAE business days (Sunday to Thursday, excluding UAE public holidays).
All vehicles are subject to availability at the time a binding order is confirmed. Where a vehicle becomes unavailable after your deposit is received, Car Ex Group will, at the buyer's choice:
The buyer is under no obligation to accept an alternative and may always choose a full refund instead. Car Ex Group will not be liable for any additional costs or damages arising from unavailability beyond refunding the amounts paid.
Buyers are strongly encouraged to inspect vehicles in person at our Dubai showroom, or to appoint a qualified inspector, before making payment. We welcome pre-purchase inspections at no charge and can provide photographs, video walkarounds and condition reports on request.
Car Ex Group will make reasonable efforts to disclose all known material defects in the condition report and photographs provided. Once a vehicle has been accepted — in person, or via written confirmation following a remote inspection — it is considered sold as inspected, and no claims relating to condition that was disclosed or reasonably visible in the materials provided will be accepted after acceptance. This does not affect your ability to report undisclosed discrepancies as set out in the Warranty section.

As a courtesy, where we are aware that a vehicle's age or specification may not meet a known import restriction in the buyer's stated destination, we will draw this to the buyer's attention before sale. However, import rules change frequently and vary by country; the buyer remains solely responsible for verifying current requirements with their own authorities or clearing agent. We accept no liability for vehicles rejected, impounded or detained at destination due to import non-compliance.
Buyer cancellation: We understand that circumstances change, and we deal with cancellations fairly and on a case-by-case basis. Where you have paid a deposit or balance and wish to cancel, please contact us as early as possible — we will discuss the available options, which may include refunding amounts paid (less any costs we have genuinely incurred, such as preparation, storage or port charges), holding the funds against an alternative vehicle, or another mutually agreed arrangement. Any deductions will be reasonable and explained to you.
Car Ex Group cancellation: If we are unable to fulfil a confirmed order for any reason within our control, all amounts paid will be refunded in full.
Refunds are processed by bank transfer in the original payment currency. The buyer is responsible for any bank transfer fees charged by intermediary or receiving banks.
New vehicles are supplied with the applicable manufacturer's warranty where available. Warranty terms are those of the manufacturer and are not extended or modified by Car Ex Group. Claims are directed to the manufacturer's authorised service network.
Important — warranty validity in the destination country: A manufacturer's warranty is generally only valid within the region for which the vehicle was originally intended. Vehicles exported from the UAE may not be covered by the manufacturer's warranty in the buyer's destination country, and local dealers there may decline warranty service. Before purchasing, the buyer is responsible for confirming whether warranty coverage will be honoured in their country. Car Ex Group makes no representation that any manufacturer's warranty will be valid or honoured outside the UAE.
Used vehicles are sold as inspected and described, with no warranty expressed or implied by Car Ex Group unless specifically stated in writing in the proforma invoice. Car Ex Group is not responsible for mechanical failure, wear, or damage occurring after the vehicle leaves our custody.
Reporting discrepancies: If there is any discrepancy between the vehicle delivered and the agreed specification or condition report, please notify Car Ex Group in writing as soon as reasonably possible — ideally before the vehicle leaves our showroom or departs the UAE — so we can put it right. The sooner an issue is raised, the more easily we can resolve it.
To the fullest extent permitted by UAE law, Car Ex Group's total liability shall not exceed the amount actually paid by you for the vehicle in question. We are not liable for indirect, consequential, special or punitive damages including loss of profit or business opportunity. Nothing in these Terms excludes liability for personal injury caused by our negligence or for fraud.
We shall not be in breach of these Terms or liable for delay or failure to perform any obligation if caused by circumstances beyond our reasonable control — including natural disasters, war, sanctions, government actions, port closures, strikes, pandemic or failure of third-party logistics. We will notify you within 5 business days of becoming aware of such an event. If the event continues to prevent performance for more than 60 calendar days, either party may cancel the affected order in writing, and Car Ex Group will refund all amounts paid for any vehicle not yet delivered, within 10 business days of cancellation.
All content on this website — including the Car Ex Group name, logo, design, photography, text and vehicle listings — is the property of Car Ex LLC or used under licence. No content may be copied, reproduced or used for commercial purposes without our prior written consent.
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates.
We always prefer to resolve any concern directly and amicably, and we encourage you to contact us first so we can find a fair solution together. Where a dispute cannot be resolved by discussion, it shall be subject to the jurisdiction of the courts of Dubai, UAE. The parties may also agree, in writing, to resolve a dispute through arbitration or mediation in Dubai as a practical alternative to court proceedings.
